DCI Explores Spin Off
Fairfield, CT - DCI Telecommunications, a public company (DCTC - OTC Bulletin
Board) of Fairfield, Connecticut, today announced that as a result of a
recently concluded agreement which was the subject of DCI's press release of
October 21, 1996, DCI has reacquired all of its prior interest in a joint
venture with Telephonica International thus paving the way to proceed with
negotiations on a potential business combination with American Cash Card
Corporation (AMCASH).
Joseph Murphy, DCI President said, "we are ecstatic because this simplifies
what could have been a rather complicated arrangement." This would be a true
business combination and once finalized, the President of AMCASH would become
the President of DCI with Murphy becoming Chairman.
Murphy added, "the Company is continuing to work towards finalizing its
announced acquisition of Muller Media and should be completed shortly. As we
continue to focus our operations in the telecommunications industry, we also
intend to explore the possibility of a spin off of the Technical Division
which includes R&D Scientific Corporation and Alpha Products in order to
benefit our shareholders and concentrate our efforts in the
telecommunications industry.
R&D Scientific Corporation and Alpha Products, which are separate operating
entities of DCI, recently announced the successful testing of the "wireless
probe" which is not dependent on radio signals, but actually sends digital
signals over existing electrical wiring. This technology will completely
eliminate the cost and need for independent system wiring and the signal and
magnetic noise problems so often associated with hard wired systems.
Additionally, because there is no "hard wiring" involved, systems utilizing
this new technology become instantly portable. It is estimated that
pre-production models will be available for sale sometime in the first
quarter of 1997.
R&D Scientific plans to introduce the wireless technology into a number of
domestic and international markets. These markets include HVAC (Heating
Ventilation and Air Conditioning), environmental monitoring, military and
commercial data acquisition markets. Alpha Products will be integrating the
wireless technology into its extensive product line of data acquisition and
control boards which have been sold to over 7,500 customers throughout the
world including a number of Fortune 500 companies and hundreds of educational
institutions throughout the United States. The market potential for the
wireless data communication system is estimated to be in excess of $1 billion
world wide according to figures available through the U.S. Department of
Commerce.
This revolutionary technology will immediately be utilized in R&D
Scientific's DATATRON monitoring systems which are used extensively in the
Pharmaceutical Manufacturing and Blood Bank industries. These industries
operate under the Federal laws governing Good Manufacturing Practice (GMP)
and are closely regulated by the Food and Drug Administration.
DATA-SAFE technology, which was developed by R&D Scientific, guarantees the
integrity of acquired data, thereby enabling Pharmaceutical Manufacturers and
Blood Banks to conform to FDA desires for data security. R&D's DATATRON
systems which utilize DATA-SAFE technology are the only totally tamper-proof
PC-based systems for data monitoring on the market today. R&D Scientific
plans to market the DATA-SAFE technology in market segments where 100% data
integrity is required for day-to-day operations including the banking, stock
market, telephone and military industries. The world wide market potential
for the DATA-SAFE technology is believed to be in excess of $500 million.
