David,

In a spin-off deal, the new company would only need to sell enough shares to generate enough cash to get them to profitability.

I think 3/4 of the new company going to existing shareholders is fine.

Since the products are already on the shelf...and the products are out of pilot and ready for market.....I see no reason why $75 million wouldn't be plenty.

It is important for the $75 million to be raised, of course, but it is equally important to do an IPO.......with a big roll-out....lots of excitement....but many more people wanting to buy...than there are shares available to buy.

I have watched fifty of these IPO's triple the first day, David.

The Bio-ID division of IDX would be a great one....great story, great potential, powerful partners, emerging market, unique position.

More coverage.....more investors......more exposure......more value. The Commission would be pounding the table.....smoking up a storm!

One phone call to Goldman Sachs or Morgan Stanley......is all it takes......and watch what the stock does the day they announce anything like the spin-off we have been discussing all day......it would be an 8 point day........unless it was a day like today. Ouch.
