Company Announcement: Activcard announces sale of shares and offer to sell

ACTIVCARD ANNOUNCES SALE OF SHARES AND OFFER TO SELL

Suresnes, FRANCE - January 11, 2000 - ActivCard S.A. (EASDAQ: ACTV)
announced today that it has entered into strategic stock purchase
agreements with Schlumberger Systemes, with headquarters in Paris,
France and New York, NY, and Business Brain Showa-Inc, Tokyo, Japan.
These agreements are the result of ActivCard's continuing efforts
to develop relationships with business partners. Pursuant
to the stock purchase agreements, Schlumberger and Business
Brain Showa-Inc. have agreed to subscribe to 174,825 and
116,550, respectively, of newly issued shares of ActivCard
at $17.16 per share. This price was derived and
set at the company's December 16th board of directors meeting
using the arithmetic average of the 10 consecutive closing prices
of ActivCard stock from November 25 to December 8, 1999.
This reference period was chosen within the last 20 trading days
prior to the December 16th meeting, consistent with generally
accepted French business practices.

The Company also announced that it has offered Sun Microsystems
and SCM Microsystems to subscribe to 582,750 and 116,550,
respectively, of newly issued shares of ActivCard at
$17.16 per share. Commitments from Sun Microsystems and
SCM Microsystems have not yet been finalized. These investments
are subject to the final negotiation of mutually agreeable
definitive agreements between the parties. All of these investments,
including any potential investment by Sun Microsystems and
SCM Microsystems, are subject to approval by the shareholders of
ActivCard at its shareholders meeting planned for February 9, 2000.

In connection with the potential investments by Sun Microsystems
and investment by Schlumberger Systemes, these companies have requested
the option to obtain a seat on ActivCard's board of directors which
will be subject to the approval of shareholders of ActivCard at
its annual meeting planned to be held in May 2000.
