Slim: Not to be a wet blanket but step No. 1, is to raise the $700,000 cash payment. Step No. 2, is to find a lending institution willing to provide the loan to take over the $1.5 million in debt. As far as the latter, depending on an actual fiscal appraisal, the assets of the cheese company may be acceptable collateral for the debt. The big question however is who will be putting up the dough. For company with little or no viable assets of their own that's a load of cash to come up with.

In addition the wording of the release still leaves room for the deal not to be consumated. The fact that Swan would not take partial payment in AWLT stock also raises a question. Could it be that Mr. Swan will accept the cheese assets as collateral for the debt and should Araldica default on the loan take back the whole shooting match cash and all.

In any event it certainly opens a door for survival.
