Access Power, Inc. ("API" or the "Company", OTC BB: ACCR,
www.accesspower.com), a Florida corporation was formed in 1996 to offer
advanced Internet-based communications products and services to the global
marketplace. API is recognized as an industry pioneer in providing voice and
multimedia communications over the Internet, more commonly referred to as Internet
Protocol telephony or IP telephony. API is an American leader in the deployment of
the most technologically advanced Internet telephony gateways. Because of this
rapid gateway deployment, Access Power is one of the largest Internet Telephony
Service Providers ("ITSP" or "NextGen Telco") in the world and one of the very few
"pure play" ITSPs.

The Company's ITSP operations are located in ten major North American
metropolitan areas, with expansion ongoing in North America and internationally. The
Company has focused on providing wholesale carrier communications services to
domestic and international providers of retail prepaid calling cards and to
international Post Telephone & Telegraph Administrations ("PTT"). PTT's provide
communications services in certain countries and are often controlled by a country's
government. The Company is rapidly developing its carrier grade services network
to supply high volume traffic to international communications companies.

API's ancillary target market is the desktop market that includes millions of personal
computer users, specifically focusing on the Small Office/Home Office (SOHO) and
other designated corporate market segments. The gateway network technology
allows API to offer the lowest call rates in the communications business while
providing premium communications features.

Access Power's internet-based telephony service, Access Power Advanced
Communications( ("APAC"), has developed and is expanding a domestic and
international communications network which allows customers to place calls using
traditional equipment. Unlike traditional services, API uses the Internet as the
backbone to complete the long distance connection that eliminates access fees
associated with long distance carriers. APAC customers take advantage of the cost
savings associated with the Internet-based telephony service without even needing a
PC by calling regular phone to regular phone using the APAC Gateway Network. The
service also allows users to place long distance calls from their PC to another
enabled PC for free, or from their PC to a regular telephone at a significantly
reduced cost. Although cost savings are achieved, the ultimate result is that
company's and individual's communications capabilities are being enhanced by
Voice over IP technical developments.
