Now, If I am holding 100 sh. of USRX for more than a year, and then sell
175 sh. of COMS after the merger, do I get taxed with Long Term Capital
Gains or Short Term?

Abb,

You're capital gain or loss is the difference between your net purchase price of the USRX and the sale price of the COMS shares.

Also, how do I explain in Schedule D that I bought 100 sh. of USRX and
sold 175 sh. of COMS?

I believe the IRS computers have the aquisition in their database. You place the buy of USRX on one line and the sell of COMS on the same line.
