SUMMARY OF MATERIAL CHANGE
Subject to regulatory approval, the Company's subsidiary has entered into an agreement to acquire an interest in the La Estrella property located in Mexico.
FULL DESCRIPTION OF MATERIAL CHANGE
The Company's 85% owned subsidiary, Valerie Gold de Mexico, S.A. de C.V. has entered into an agreement to acquire 100% interest in the 1,662 hectare La Estrella Property situated in the State of Nayarit, Mexico. Subject to regulatory approval, Valerie Gold de Mexico may acquire its interest in the property by making cash payments totalling US$1,000,000 payable over 6 years and issuing 50,000 shares of Valerie Gold Resources Ltd. over 4 years.
