First of all I am not short the stock. I stated in a previous post that I believe there is a market for RTOSs and have been looking for an investment in this area. I also believe this forum is for keeping people informed on companies. The more information an investor has the better his/her decisions will be.

I don't know who WIND's investment banker is but it is clear they do not feel comfortable with doing the convertable themselves. This is a fact. Before I invest in WIND I want to know why. If I owned the stock I would want to know why now--not tomorrow. I have been around a long time and Reg S financing is not good for the common stockholder - it is good for the off shore finance institutions and will dilute the value of the common. I have never met a CFO that would use every avenue of financing before a Reg S. This is the choice of last resort.

With all this said I think it is important to get to the bottom of why is Wind River using this avenue of financing.
