You are absolutely correct I am sure you are right about the activities of these companies, however these are not Reg S deals. I've no doubt that companies have been doing convertible subordinate note offerings for a long time. And that is exactly what WIND has done with all but $23.3 million of this last deal. And, as far as I know, there hasn't been any crusade to stop convertible offerings simply because they aren't unfair. So, I guess that we'll have to disagree about what is an apple and what is an orange.-g-

My point was that there has been some very highly publicized abuses of Reg S offerings in the past and so I'm surprised that WIND felt that the extra $23 million(the Reg S part) was worth all of the bad investor sentiment that it would create. I know that for me I will not pay quite so dearly for WIND in the near future as I would have, had the Reg S component of this offering not taken place. Now, you have to wonder how many mutual funds have a hands off/cautious policy towards investing in companies that do Reg S's, irregardless of whether they were abusing them.

P.S. - If it's not too much trouble could you ask DMG for a list of companies that have done Reg S deals lately and e-mail it to me? I've been trying to research this but have had zero luck. TIA.
