Q4-FY2000-conference call notes

CEO, Paul Voois started call, important points

- Top/bottom line better than analyst estimates for Q4
- Reviewed telephony transition over fiscal year
- Dialink (CLEC) live trial through Exodus this quarter,
expect more CLEC trial/announcements in coming quarters,
expect commercial deployments by December quarter.
- ST Micro relationship going well with products in
development.
- Audacity T2 prototype shipping, Phillips first big
customer; Audacity next generation in development.

CFO, Dave Stoll took over with financials, important
points:

- Total Q4 revenue (product/licensing): $6.5M
- Product revenue ($5.1M): IP telephony (symphony hubs/audacity
chips) $253K; video conferencing semiconductors $3.2M;
video monitoring $1.5M; consumer videophone $94K
- Licensing revenue ($1.4M): $100K for licensing of IP
telephony, rest video conferencing licensing etc.

Q: Arnab Chandra? from BB Robertson Stephens asked about
Audacity design wins and details on ST Micro deal.

A: Audacity T2 design win for Phillips announced on current
generation of chip will transition them to new version as it
is available. Several customers licensing and in design/
test with prototype quantities and expect deals/announcements
to follow.

ST Micro: look for royalties and products towards end of calendar
year. Two products being worked on: cable modem chipset
for set-top voice-enabled cable box and DSL voice-enabled
product. They are working on "other opportunities"
with ST Micro. Netergy/ST Micro relationship going
"very well".

Also said ST Micro wins (Alcatel/Nortel) will most likely
open voice opportunities for Netergy.

Q: Stan? from WR Hambrecht asked about relationship with Sun
and Cisco ecosystem.

A: Partnering with Sun under "Sun tone" program because of
Sun server strength in telecom carrier market. Cisco
because of interopability testing and use of Cisco
equipment in total solution. Really good for proof of
interopability with Sun and Cisco's equipment along with
presenting "total solution" to customers.

Q: Stan Corker, Emerald Research, asked about issues
getting full deployment of iPBX going - is Netergy
in product debug phase, tough to get customer interested?

A: Not an issue of customer interest, customer's are
interested. Issues are logistics of deployment:
showing they are reliable/scalable for carrier grade
deployment; comes in steps and things are going well.

Q: Stan asked about video monitoring business sale.

A: Paul said expect transaction completed about end
of this quarter (Q1 2001) for sale of video monitoring
business.
----

So not much new information. There seem to be some
deals in the works with some more CLECs and also
design-wins pending for Audacity. The next 6
months should be interesting...
