The way I see it is like this:

In October of 98, 54,000 Preferred shares will convert to common at 35:1.

54,000 x 35 = 1,890,000 New Common shares
+ 2,575,217 Existing Common Shares
------------
4,465,217 Total Shares
- 1,600,000 Insiders
------------
2,865,217 Available To Trade 10/98
