FYI - EPIC acquisition of ARYN stock and options
"Purchased in-process technology. As of June 30, 1995, the Company substantially completed its acquisition of Archer Systems, Inc. ("Archer"),through a merger (the "Merger") with and into its wholly-owned subsidiary. The Company exchanged a total of 260,484 shares of its common stock and options to purchase common stock of the Company for all of the outstanding shares of the common stock and options to purchase common stock of Archer. For accounting purposes, the Merger was accounted for as a purchase and the Company recorded the estimated fair market values of the assets purchased and liabilities assumed as of June 30, 1995, and, as a result, incurred a one-time charge of purchased in-process technology of $3.3 million, or 47.9% of the total revenue in the third quarter of fiscal 1995."

Epic Design Technology, Inc. (EPIC) now uses the name Epic Software Corporation (still EPIC). I have worked with EPIC's main vendor (Platinum Software Corporation) and was even offered a job 8 years ago as their Software Quality Assurance Manager in Irvine, CA. It is NOT known whether EPIC is still associated in any way with the ARYN symbol, however, subsequent SEC documents have not been produced to communicate otherwise.

Speculation:

ARYN now appears to be a desireable shell to be purchased. There are many rumors of a buyout from an internet company that would like to expeditiously become publicly traded. If this occurs shortly, we all know what kind of shareholder value we will be looking at. IF Epicor Software Corporation still holds interest in ARYN, it is probable that a spin-off could occur to diversify the business. Both of these scenarios could result in significant price increases.

Re: Outstanding shares and public float.

I have taken the conservative approach to estimating the public float and outstanding shares. Based on the trading activity and typical descent of a stocks price during dormant stages, I have used the 52-week high for 1999 of .469 and calculated approximately 7 million shares in the float, based on the 3.3 million dollar “total” purchase of outstanding shares and options covered in the SEC filing.

As many credible posters have indicated, the first of June was to be an original “buyout” of ARYN by an internet company. Approximately 6 million shares were traded and history shows serious buying. With this trade, along with recent accumulations, it would be very conservative to me to have a maximum of 1 million shares in the float. Of course, we all know what happens as the Public Float number approaches “Zero” and the supply vs. demand kicks in and we watch the stock soar!!! The strongest rumor available is that a 2nd "internet" business is now bidding to purchase the ARYN shell.

This should be yet ANOTHER stock going to emerge today as it has been a sleeping bear! With the extremely volatile price increases that occur with buying pressure, it seems evident that Monday will bring some record breaking gains. Again, every holder of ARYN should seriously consider holding this for the "long-term" depending on their comfort level and trading strategies.
