Two reasons for spin-off:

1)SONO's products sell to a different market, different price point. ATL sells high margin several hundred thousand dollar machines. SONO's device will cost $20K and up but will be high volume, completely different. Also, ATL sells directly, SONO uses a distributor.

2)The cost of ramping up SONO meansbig losses which would show up on ATL's income statement, something they did want. SONO will be profitable in 2001.

By spinning ATL off they get to do the mfg for SONO and participate in the growth but none of the losses. And because (in 20/20 hindsight) they were about to be taken over they did not want the prospective losses scaring off a suitor.

Also, several people who used to work for ATL now work for SONO. Jacques Souquet the chief techinical guy at ATL is on the board.

Do some research and then come back with some intelligent questions. Don't just spout stuff off because the stock is roaring. A lot of stocks are roaring for no damn reason.
