The TSX Venture Exchange has accepted for filing documentation with respect
to the issuance of 75,000 shares to John Perston and Francis Guardia
(37,500 shares each), and 8,000 shares to Catherine McLeod-Seltzer as
finder, in connection with the acquisition of the La Guitarra property
under the Minas de la Alta Pimeria S.A. de C.V. agreement entered into by
the company July 22, 1993, and as amended Jan. 25, 1994.
