(OTCBB:ENVK) announced that the company has completed a Merger Agreement with Electroship (N.Y.) Inc., a developer of wireless tracking technology for the shipping industry. The signing of the letter of intent to acquire Electroship was previously announced on July 25, 2000. Refer to that news release for additional details regarding the anticipated enhancement to Envirokare's forthcoming shipping products as a result of this merger. As a result of the merger, Envirokare acquired all of the assets of Electroship including the full and exclusive right to the inventions disclosed in a recently filed United States provisional Patent Application titled "Apparatus And Method For Facilitating Shipping Commerce." As consideration for the merger, Envirokare issued 2,500,000 shares of its common stock, $.001 par value, to the former Electroship stockholder.
