I don't mean to be critical.

I hope that management has something useful in mind to make use of the money other than banking it. Since the registration was filed 3/16/98 (11 months ago) it does not seem like a critical need. It seems more like waiting until the share price is really high to complete the transaction. That does not speak well for long term financial management. What would management have done if the share price had not appreciated so smartly in the last four months? Just kept the registration opened?

If there is a buy target as has been discussed here, has the share price of the buy target also appreciated? If so, isn't it all just funny money.

There was a quite detailed analysis of Gillette's purchase of Duracell last year or the year before compared to their failed attempt to buy Duracell 10 years previously. Gillette shares appreciated much more than Duracells over the 8 years, so the analytics concluded that Gillette got a better deal by waiting. But what could they have done with Duracell in 8 years. The analytics never speculated.
