a) As you agreed previously, the $100m is a LOAN.

b) AOL's bogey to exercise the warrants is very high -- and
assumes TALK is at least $14 at that time and that AOL.

c) Re-read my post. TALK can manipulate its profits to screw
AOL whilst building TALK's assets. Where else is AOL gonna
go? Do you think TALK was first choice of Steve `best of breed'
Case? Nobody ever heard of it before Tuesday, despite that its
been around since 1989. All of a sudden the AOL bulls are
declaring it the new MCI.

Could AOL make money on the deal? Maybe. But it won't begin
selling beyond beta until Oct-Nov at earliest. So decent read
won't be possible until Q2 '98 results -- two lifetimes away in
this business and market.
