Probably a corporate lawyer can give exact info. But what little I know for sure is that laws about the selling of securities by corporate execuitves are very stringent. They get to sell only during very small windows every so many times in an year. IF these sells are above $100K, then they have to fill a separate form declaring the intention to sell. Also these small windows are designed to be two weeks after earnings announcements, etc.
In effect, many of these guys don't have much choices and freedom in selling. To counter this, many of tech executives sell regularly every quarter. examples are bill gates, chamber of csco, morgan of amat and the list goes on.
Please understand that this is not as much in the defense of the MO and CURLY. But rather just to let you know that insider selling should be used carefully. I like to use insider buying more effectively.
