Perhaps some bad publicity aimed at the arb holders could be used for leverage. And all the principals would have to make concessions.

Arbs have no shame, so bad publicity will not deter them from doing whatever their self-interest tells them to do. If there are any concessions, they will have to come from the insiders. Look at the proposed Capitol Acquisition transaction where the insiders are willing to give up all of their stock, though they will receive some compensation on the back end.

Your observation that this is a problematic transaction is right on the money.
