National Semiconductor Signs Agreement for Acquisition of Communications
Technology

SANTA CLARA, Calif.--(BUSINESS WIRE)--April 24, 1998--National
Semiconductor Corporation today announced it has signed a definitive
agreement to acquire ComCore Semiconductor, a privately held company
that designs and manufactures integrated circuits for computer
networking and broadband communications.

ComCore uses powerful mathematical techniques combined with advanced
digital signal processing (DSP) and customized design methodologies to
create high performance communications solutions.

Robert Penn, senior vice president and general manager of National's
Communications and Consumer Group, said the acquisition will add
advanced design and technology capabilities to National's existing
analog, mixed-signal and digital expertise.

"Networking and communications products are evolving rapidly," Penn
said. "This acquisition will enable us to maintain a technology edge in
today's market and extend our ability to integrate more functionality in
the higher performance, small geometry processes for next generation
products."

The company said the marriage of its mixed signal expertise with
ComCore's advanced algorithm science will position National as a world
leader in the application of advanced DSP technology to communications.
The combined expertise of the two companies is unique and will allow
true system on a chip applications in many markets.

John Guidon, president of ComCore, said the new technology "comes with
the outstanding benefits of low cost, high performance and ready
integration with other functions. The trick is to use truly innovative
mathematics to get the best possible performance from the fewest
calculations," Guidon said.

The acquisition will be a cash purchase with a total acquisition cost of
approximately $122 million, including acquisition expenses. National
will expense an estimated $85 to $95 million of this amount for
in-process research and development at the close of the transaction,
which is expected by the end of the current quarter, ending May 31,
1998, subject to regulatory approvals. ComCore Semiconductor is
headquartered in Calabasas, California, northwest of Los Angeles, and
employs about 40 people.
