The circumstantial evidence for IMCL:

1. On 6/21/05, IMCL released an unusual Form-8K altering the corporate bylaws to appoint a Vice-Chairman of the BOD—a position they hadn’t previously deemed necessary: biz.yahoo.com

2. Last Friday, IMCL released an even more bizarre Form-8K disclosing the hiring of an officer to direct “Management information services” (http://www.investorshub.com/boards/read_msg.asp?message_id=7008192 ). The gentleman hired received an unconscionable number of options via a Nasdaq loophole and bears the same name of a known white-collar criminal. (The company insists it is not the same person, but they notably have not denied that the two individuals could somehow be related.)

3. Big Pharma has a Titanic-sized boatload of repatriated foreign earnings to put to use during 2005. SGP in particular has boasted of moving into the top ranks of biopharmaceutical companies (http://biz.yahoo.com/prnews/050503/nytu180.html?.v=9 –scan down to Hassan’s quote)—something they can achieve only through one or more acquisitions.

4. For added spice, Carl Icahn asked for—and received—Hart-Scott-Rodino clearance to buy up to $500M of IMCL stock.
