As I said, insiders and Microsoft itself would get shares in the new company. They'd be non-voting, but dividend yielding shares.

Re-reading your post I see that you did say that. I missed it. I withdraw that particular objection. However, a non-voting, dividend-yielding stock in a company that would never pay a dividend would necessarily be worth less than the common issue due to the restrictions unless it were convertible automatically upon sale to a non-insider to the same number of common shares.
