As I've said before, I like the way you think. Phillips makes sense for several reasons: they are heavily involved in the set-top market (WebTV and now MediaMax); they know that this part of the electronics business is much faster growing than home stereos for example; they might be shut out of the set-top market in the US (General Instrument et al) but there are more than 300 million people in the EC, where PC penetration is much lower than in US (and PC prices much higher). That would be an excellent market for the ARM RISC-based machines. Moreover, Phillips has a vested interest in seeing the success of the DVD (crus' low-cost dvd solution is music to the ears of a mass producer like Phillips). They would also take an interest in crus' huge selection of audio chips and patents as well as crystal's expertise in mixed signal processing. In fact, I could seeing them being attracting to every part of crus' business with exception of Mass Storage, which would be spun off or sold to someone like IBM. Without mass storage, it would be a perfect fit for cash-rich Philips which is actively looking for a piece of Silicon Valley.
