08-22-03 1639ET DJ Ingersoll-Rand/Timken -2: Standstill Period Ended Monday

WASHINGTON (Dow Jones)--Ingersoll-Rand Co. (IR) said that a six-month
standstill period under which it wasn't permitted to transfer any shares of
Timkin Co. (TKR) expired on Monday.
According to a Schedule 13D filed Friday with the Securities and
Exchange Commission, Ingersoll-Rand is reviewing possible courses of
action for the disposition of all or part of its 11% stake in Timken.
Ingersoll-Rand "may, subject to market conditions in effect from time
to time, sell or otherwise dispose of all or part of the Timken common stock
beneficially owned by them from time to time in any manner permitted by...the
standstill (agreement)," the filing said.
Timken makes engineered bearings and alloy steel products.
