Naive would never be a word used to describe Russ.
Trusting perhaps.

He would have believed Jain was honest and would have had no doubt that he would have kept his promises made in the merger deal.

Jain is a snake, will say or do anything to get what he wants. Not only did he fool Russ, but he fooled the stockholders as well.

There is a lot more to this than we will ever know. I do not believe this was a move on principals or for "the good of the company" but done for absolute control. "I AM THE KING!"
