Excellent post! I can hardly think of anything to add. (Well, not likely.)

Questions that come to mind:

* What part, if any, does GTE play in decision?

* What are dynamics between Amati's partners and the likely finalists? In other words, what would NEC be likely to say if Lucent were the top bidder? What would TXN say if Motorola stepped up to the plate? What would Siemens say about NEC and vice versa? Are these concerns even considered? (All names other than partners are hypothetical.)

* Why would a company like TXN, Siemens, NEC, or Motorola have to buy Amati? Why couldn't they just become an equity investor and let the company stand alone?

bhakta's points are well-taken regarding the enormity of the market and Amati's position as an emerging company. In fact I recall comments at the annual meeting about the fact they couldn't do it alone --- they would need telecommunications and datacommunications partners.

I also think the company has to entertain all possibilities just as a matter of course. Due diligence must be served. I certainly don't want a buyout and if given no choice will be just as demanding as the next shareholder when it comes to an acceptible price. Having said that, I also want what's best for shareholders and the company, long term. I've been willing to let them use my money during the painful period of gestation and will be more than happy to let them continue as they go from being a toddler to being an Olympic star.

I'm not going anywhere -- and certainly wouldn't mind having all my shares pass the 18-month holding period before having them wrested away.
