Vodafone CEO Gent on Talks With Alltel, Mannesmann: Comment

Dusseldorf, Germany, Feb. 1 (Bloomberg) -- Vodafone AirTouch
Plc Chief Executive Christopher Gent on talks with Alltel Corp.
and his $165.5 billion hostile offer for Mannesmann AG. Gent spoke
with Bloomberg during the Online 2000 conference in Dusseldorf,
Germany.

On a Wall Street Journal report that Vodafone and Bell Atlantic
Corp.'s joint venture is in talks with Alltel Corp. to swap cell
phone systems as Vodafone and Bell merge their U.S. wireless
activities into the No. 1 U.S. wireless provider:

``The sale is part of taking out overlapping properties. Some
we sell, some we swap.' He wouldn't comment on a report that the
phone systems were valued at $3 billion.

On his bid for Mannesmann, Germany's largest wireless provider:

``We still prefer an agreed merger with Mannesmann. I won't
meet with (Mannesmann CEO Klaus Esser) today, but you never know.
``We don't plan to extend the tender offer. We expect to have
the majority before Feb. 7.
``We have no intention of selling the fixed-line business of
Arcor and Infostrada.'

On reports Vodafone would be willing to give Mannesmann
shareholders 50 percent of the merged company:

``Not even 49.9 percent. They know that's not on.'
