announced today that is has set February 10 through February 11, 2000,
as the date to complete the acquisition of 1stinhealth(R).com, Inc,
which is located in Hasbrouck Heights, N.J.
1stinhealth.com, Inc. has a national health, nutrition and
fitness benefit Program. Companies, organizations and groups
representing over two million (2,000,000) individuals have indicated
to 1stinhealth that they will offer their employees/members the
1stinhealth Benefit Program this year.
Over 500,000 providers of health, nutrition and fitness goods and
services accept the 1stinhealth card as payment for their goods and
services from 1stinhealth members. The 1stinhealth benefit program is
not insurance, but a complement to ALL existing types of insurance
programs and enables its card members to receive a Preferred Price

and supplements from over 500 of the leading manufacturers; health
food; durable medical equipment and supplies and diabetic supplies.
The every day Preferred Price Advantage that 1stinhealth cardmembers
will enjoy, plus free shipping will make this site an attractive
benefit to 1stinhealth cardmembers. Non-Members will be able to enroll
for a special group membership directly through the 1strxplus website,
making the site part of 1stinhealth.com, Inc.'s total vertically
integrated marketing strategy to meet its enrollment and utilization
goals.
The Company has agreements with Labor Unions, corporations,
insurers, third-party administrators and associations to offer its
