---->During the third quarter of 1999, the Company issued to a *consultant* an immediately exercisable Class A warrant to purchase 100,000 shares of the Company's common stock at an exercise price of $1.50 per share; it expires on November 15, 2000.

Upon exercise of the Class A warrant, a Class B warrant would be issued by the Company to purchase 100,000 shares of the Company's common stock at an exercise price of $2.00 per share. The Class B warrant would be exercisable from the date the Class A warrant is exercised until November 15, 2001.

Upon exercise of the Class B warrant a Class C warrant will be issued by the Company to purchase 100,000 shares of the Company's common stock at an exercise price of $2.50 per share. The Class C warrant would be exercisable from the date the Class B warrant is exercised until November 15, 2002.
