Metrowerks Announces Record Revenues & Earnings

Austin, Texas - March 11, 1996 - Metrowerks (TSE, ME: MWK) today announced record revenues
and earnings for its second quarter of fiscal 1996, ended January 31, 1996.

Metrowerks, a leading vendor of Macintosh-hosted software development tools for the Power
Macintosh, Windows, Magic Cap, BeBox, and Pilot, said net revenues increased 120% from US$
1.1 million in fiscal Q2'95, to US$ 2.4 million in fiscal Q2'96. This marked the highest single
quarter of revenue in Metrowerks history.

Net earnings increased 426% from US$ 42,000 (US$ 0.005 per share on a fully diluted basis)
for the three months ended January 31, 1995 to US$ 221,000 (US$ 0.021 per share on a fully
diluted basis) for the three months ended January 31, 1996. Net earnings increased 6% from
US$ 209,000 (US$ 0.022 per share on a fully diluted basis) for the three months ended October
31, 1995.

"We are very satisfied with the results for the second quarter," said Jean Bélanger, Chairman
of the Board. "In October 1995, we stopped bundling desktop computers with our software
development tools, a program which we started in August, 1995. The growth in our second
quarter software revenues was stronger than our results would otherwise indicate. Our first
quarter hardware sales were US$ 158,000, and therefore are comparable revenues increased by
12%."

Earnings Table

The Company has reported its financial results in US dollars since the beginning of fiscal
1996, and accordingly the results of prior periods have been translated into US dollars for
comparative purposes.

As of January 31, 1996 there were 10,429,443 shares outstanding and there were 590,550
options outstanding to acquire common shares. In addition, the company also granted 45,000
share purchase options today to new employees who joined the company in the past three
