Shareholder Files Suit Against K-Tel (KTEL), and Certain Of Its
Officers and Directors Alleging Securities Fraud

PHILADELPHIA, Dec. 1 /PRNewswire/ -- Counsel for Class Plaintiff, Barrack, Rodos & Bacine, today issued the following:

A class action has been commenced in the United States District Court for the District of Minnesota on behalf
of all persons who purchased the securities of K-Tel International, Inc. (Nasdaq: KTEL - news; ''K-Tel'' or
the ''Company'') between October 27, 1998 and November 17, 1998, inclusive (the ''Class Period'').

The complaint charges K-Tel and certain of its officers and directors with violations of the Securities
Exchange Act of 1934. The complaint charges that defendants made a number of positive announcements about
the Company's efforts to market music over the Internet while concealing from investors the fact that the
Nasdaq had previously advised the Company by letter that it was not in compliance with the Nasdaq's
''minimum tangible net asset requirement for listing'' on that exchange. As a result, K-Tel's securities traded
at artificially high prices reaching nearly $40 per share during the Class Period. when the news of the Nasdaq
letter was made public on November 17, 1998, the price of K-Tel's common stock plummeted to less than $10
per share in two trading days.

The plaintiff seeks to recover damages on behalf of all purchasers of K-Tel securities during the Class Period.
