October 27, 1997: To Sell Windsor Door Company

Nancy Spurlock of United Dominion Industries Ltd. announces a definitive agreement to sell
Windsor Door Company to American Buildings Company for approximately $60 million.

Windsor, headquartered in Little Rock, Ark., manufactures steel residential garage doors and
commercial rolling and sectional doors. The company has two plants in Little Rock; one in
Marysville, Calif.; and 29 company-owned distribution centers.

The sale of Windsor completes United Dominion's strategy to divest most of its building
products businesses and to concentrate solely on industrial manufacturers of engineered
products. Earlier this year, it divested Varco-Pruden Buildings and Centria and announced its
intention to sell Windsor Door, which has since been treated as a discontinued operation for
accounting purposes.

United Dominion is a $1.8 billion diversified industrial manufacturing company with 11,000
employees at 68 locations in 16 countries.
