Please note that the following coorespondence is in conflict with the earlier email I received from George Stolpe, which indicated they would try to be listed by NASDAQ last month. His latest response to my inquires is as follows:
Evidently, my previous message did not get through to you. Here's an update:
1. The agreement with Zenith must be voted on by our shareholders. Once we receive approval on the proxy materials from the SEC, we will set a date for the vote and distribute those materials to shareholders of record. We currently are targeting somewhere around the close of the first quarter for the agreement to close.
2. Any outstanding contingent liabilities, i.e. legal issues, must be resolved before the Company is liquidated and payout is made to shareholders. Unfortunately, there is no way at this time to predict when that will happen.
3. Once we have indication from the SEC that the proxy materials are/will be approved for release, we will file for relisting on NASDAQ. However, it is NASD's decision whether to relist RISCORP.
