These rules are certainly binding and enforceable for an individual. VC funds are frequently organized as very complex entities with murky ownership relationships between parts (say, Wilder Biotech Partners VII invested in ABCD and is going to sell at the lockup expiry; at the same time, Wilder Management Associates, a Bermuda corporation, boldly sells ABCD short a month in advance...). You may look at convertible bonds as an example of these guys' integrity...
