To all: Just some info re: Merger announcements happening on Sunday - perhaps it will still be pertinent.
The ASND-CSCC merger was announced on Sunday, March 30th about 8 PM Eastern time.
From the merger document we pre-merger holders all received, p. 41
"In the course of it's deliberations on March 17, 19, 20, 21, 24, 26, 28 and 29, 1997, the Cascade Board met with and questioned senior management of Cacade and Morgan Stanley and TH&T and reviewed the anticipated benefits and a number of additional factors relevant to the proposed merger ... "
From p. 37
"On March 28, 1997 (a Friday) the Cascade Board held a special teleconference meeting in which senior management and legal and financial advisors discussed with the Cascade Board ..."
"On March 29, 1997 (a Saturday) the Ascend board held a special teleconference meeting to consider and vote upon the proposed business combination with Cascade. Representatives of DMG, GCW&F and Ernst & Young LLP, Ascend's independent auditors were also in attendence ...".
"On March 29, 1997 (a Saturday) the Cascade Board met to consider and vote upon the proposed business combination with Ascend ...".
My points: Mergers take time, agreement of both Boards, etc. and that these meetings occur also on Weekends. Just thought the thread might be interested. It's already 1 hour later - but still possible, however unlikely. |
