[Merger agreement]

The 8-K reads:

"Under the terms of the agreement, each share of Amati common stock will be exchanged for .9 of a share of Class A Westell common stock. . . .

Westell Technologies expects to take a one-time charge for in-process research and development and other merger and related expenses upon the closing of the merger which is expected to occur in the fourth quarter of Westell's fiscal year 1998. . . ."

There is no cash involved. And according to the conference call the day of the announcement, both parties hope to have the merger complete by the end of calendar '97.
