I do not know the laws that govern such a transaction, but I assume it is legal. I too am amazed at how little protection minority shareholders have vis a vis corrupt self dealing managements (I know you've looked at the ZITL Cayman island deal). Unfortunately, minority shareholders seem limited to voting with their feet and SELLING.

My current strategy is to discover the most abusive managements and short them on the theory such a portfolio will underperform the broad market averages (credit to Roger Babb who's mentioned the idea before).
