Morning Ron,

Now let me see if this will help. This is as of 30 Sept. 96.

CAPITAL STOCK:

During the nine months ended Sept. 30, 96 the Company issued 10,000
common share on the exercise of employee stock options at $0.50 per share
and received net proceeds of $1,494,721 for the issuance subsequent to
Sept. 30, 96, of 4,495,400 common shares.
During the nine months ended Sept. 30, 96, the Conpany granted employee
and director stock options to purchase and aggregate of 320,000 common
shares at $0.82 per share for five years. Subsequent to Sept. 30, 96, the
Company granted additional employee stock options of 50,000 common shares
at $0.50 per share for five years.

Now that was note 4 explaining capital stock per the financial statement.
Off of the financial statement it looks like this.

Authorized-50,000,000 common shares without par value
Issued-17,991,673 shares (1995 - 17,981,673)
Subscribed-4,495,400 shares (1995 - nil shares)
Less-250,000 shares held in treasury, at cost

Now remember that there was an additional 4 mil.+ issued to Hartford
for the PP., so that puts us at around 21 mil+ or around 23 mil+ total.
All you have to do now is read the last news release and add them in and
you will have the total. In the last one I beleive you will have the
last option count. Sorry I don't have that right in front of me, but you
should be able to get that off the web site if it has been updated.

Hope this helps and is what you are looking for?

Ron

ps.
Just got this package and am still digesting it so this request you
want might be lacking soly on the premise that my brain is tired at this
point. But if it needs correcting then I'll do it after I finish reading
the info in the package.
In fact we should all be getting our 167 page package in the mail soon
and this should answer all your questions a lot better then I can right
now.

R.
