For $250,000 + benefits I expect that he will do whatever deal it takes to keep the company in business. Going back to 1995, Jim could have got his funding without going to reg s/d. He could have struck a deal to get venture capital or get an industry partner with big pockets. This is still dilution [you give away a chunk of the company for the cash] but it would have had negligible effect on the stock price since your partner won't cash out for 3 to 5 years. Of course, Reg s/d is simple and it gives you complete control over the money. Taking in a partner lessens your authority and control. The Advanced Pultrusion deal should never have got in court........Jim should have done everything to get a deal.......ADP had called in a consultant, Pultrusion Dynamics, in early 1996 to help Express Line run the machine......ADP could not make their Power Sticks! ..... QDRX had got the machine up and running....... There was all the makings of a deal in late 96.......so what went wrong? I expect a highly paid CEO to be a wheeler/dealer who is willing to do whatever it takes to increase the value of my stocks and the return from them..........even if it diminishes his position and control. This is my honest opinion deduced from the publicly available facts....... it is not intended to harm or defame anyone or any entity. This opinion is intended to point out deficiencies in Quadrax management so it can do better in the future.
