3. The CDNX Policy requires that management compensation agreements which
permit in excess of $5,000 per month to be paid to directors and officers must be
submitted to the Exchange for review. The Policy prohibits an Inactive Issuer
from paying more than an aggregate total of $2,500 per month in management
compensation. The ASE policy (Circular No. 1) limits the maximum
compensation payable to any individual to $60,000 if an Issuer did not have a
history of net income.. The revised provision permits CDNX to review and assess
the compensation without imposing an outright prohibition. The CDNX Policy
also provides some guidance as to what might be considered unacceptable
management compensation.

Does this apply to Mike? $60K limit with no net income?
