Why does Disney deserve ANY premium?

Eisner at the annual meeting from WSJ:

Underscoring that his compensation package, and those
of other Disney executives, are based on the company's
performance, Mr. Eisner warned that financial growth
isn't guaranteed. "This company may not grow at all,"
Mr. Eisner said. "I don't know... . We've got some
problems in prime time," he said, referring to lagging
ratings at Disney's ABC Network. "You know, I
wouldn't assume" that strong growth will always
continue, he added.

This is a MAJOR shorting opportunity.
