Clean Power sells gas firm .....................................................

Friday, May 26, 2006

Clean Power Income Fund has agreed to sell Gas Recovery Systems LLC, a U.S.-based landfill gas recovery firm, to a subsidiary of New York-based Fortistar LLC for $90-million (U.S.)

Toronto-based Clean Power also said it has engaged Scotia Capital Inc. “to continue to investigate other unitholder value enhancement opportunities,” a move that often signals a company is considering putting itself up for sale or pursuing possible partnerships.

The Gas Recovery Systems deal is expected to close by the end of July 2006, subject to normal closing conditions and regulatory approvals. GRS operates 29 facilities in the United States, of which 26 generate revenue from the sale of electrical power into the local grid.

Toronto-based Clean Power has investments in 44 power-generating facilities in Canada and the United States.
