WOLFDEN - SHARES RECEIVED FROM ANACONDA
Wolfden Resources has acquired ownership of four million common shares of
Anaconda Gold Corp. (formerly Anaconda Uranium Corp.). The shares were
issued to Wolfden as consideration for the sale to Anaconda of Wolfden's interests
in its Borthwick Lake and Lingman Lake properties. The transaction having been
completed, Wolfden now owns four million common shares of Anaconda,
representing approximately 37.53 per cent of the outstanding common shares of
Anaconda.
The transaction was effected in accordance with the terms of a letter agreement
dated March 22, 2002, as amended, between Wolfden and Anaconda. Pursuant to
the provisions of the transaction agreement, Wolfden sold to Anaconda Wolfden's
interest in its Borthwick Lake property (consisting of nine unpatented mining claims
in the Red Lake mining district of Northwestern Ontario) and Lingman Lake
property (consisting of seven unpatented mining claims in the Red Lake mining
district of Northwestern Ontario) in consideration of the shares. Wolfden does not
have any present intention to acquire any additional securities of Anaconda.
