Jim, Since you tendered your shares by the deadline, you have received $20/s about Dec 29th. Those that did not tender, mostly because they wanted the sale in 1998 for tax purposes, are still holding their shares pending a proxy by TI (who now own 78% of Amati) to buy their shares at $20/s, or they can sell at the market price.

Your broker is correct and you have a 1997 taxable event since you no longer own Amati.
