Spaw, CEO wants PT-1 bad. The street hates this deal, even with pooling and accreditive earnings. You are right, the stock will be dead with an outright purchase. Then what will they do, issue twice as much stock to get it done? Probably, which turns out to be the nail in the coffin for a lot of decent companies. Biting off more than they can chew at a higher price (dilutive stock, in this case) than they wanted to.

I think this may explain the 8700 Aug 25 put contracts. That may have been protection all along against a move such as this.

I did talk to the company last night and everything Cat mentioned is true. They were in the board meeting when I called. They said the decision would be made public as soon as possible, but would not give a time frame.

Will probably see short term downgrades on the stock following the purchase announcement, which Bear Stearns says is inevitable, according to Cat's post.
