TECHNOLOGY LICENSING AND
ROYALTY AGREEMENT
THIS AGREEMENT, made and entered into this day of September, 1996, by and between PATROCLOS FINANZ AG, a Swiss Corporation, hereinafter referred to as "Licensor", INTERNATIONAL MARKETING MANAGEMENT, INC., hereinafter referred to as "Licensee";
WITNESSETH:
WHEREAS, Licensor owns or controls all of that certain intellectual property, including patent(s), pending patent(s), materials subject to copyright, and other types of proprietary ideas, concepts, and designs, which configured together are known as the "EM-SOUNDER TECHNOLOGY", which is used and useful in the exploration for and identification of hydrocarbons and hard-rock minerals, among other things; and WHEREAS, Licensee is a corporation engaged in the financing and conduct of hydrocarbon and mineral exploration; and
WHEREAS, Licensee and Licensor have discussed the licensing of the EM-SOUNDER TECHNOLOGY by Licensor to Licensee for the sole use in its exploration for hydrocarbons and minerals and have agreed on the terms and conditions which are to govern the rights of Licensee to use the EM-SOUNDER TECHNOLOGY and the other rights, obligations, and duties of the parties to this Agreement; and WHEREAS, the parties now desire to set out their agreement in writing, with the controlling language of the Agreement being English;
NOW, THEREFORE, for and in consideration of the mutual covenants and promises hereinafter set forth, the receipt and sufficiency of which are herewith acknowledged by each party, Licensor and Licensee herewith agree as follows:
ARTICLE I - DEFINITIONS
Unless the context clearly dictates another meaning, as used in this Agreement the following terms shall have the meanings hereinafter ascribed thereto:
1.1 "Licensed Technology" or "Technology" shall mean and include all of the Licensor's technology and intellectual property, including, but not limited to, any trade names and trademarks, patents, patents pending, and patent applications, copyrights, designs, concepts, and other proprietary material, regardless of whether same can be patented, copyrighted, or subjected to other laws relating to the protection of intellectual property, which are included in or might become part of that certain system conceived, developed, and/or owned and controlled by Licensor which is used and useful in the exploration for hydrocarbons and hard-rock minerals, which are collectively known as the "EM-SOUNDER TECHNOLOGY", and including any improvements, betterments, developments, updates, upgrades, refinements, derivatives, or replacements therefor, but EXCLUDING from the said definition and the License being granted by this Agreement from the Licensor to the Licensee any use, function, or other application of said Technology or any part thereof, which falls outside of, beyond, or is unrelated to the exploration for and production of hydrocarbons and hard-rock minerals. All intellectual property rights of the Licensor, whether represented by patents, patents pending, copyrights, or other types of intellectual property protection methods, and all other uses or applications of such technology, which are not specifically licensed to Licensee under this Agreement are expressly reserved to and retained by the Licensor.
1.2 "Licensor's Patent Rights" shall mean and include all patent, copyright and other intellectual property claims owned or controlled, whether presently or in the future, anywhere in the world by Licensor during the term of this License, which claims are related to the Licensed Technology or which read upon or are directed to any portion of the Licensed Technology, and specifically include any improvements, upgrades, betterments, developments, updates, upgrades, refinements, derivatives, or replacements for any aspect of the Licensed Technology made by or in association with the Licensee during the term of this License, unless such are specifically excluded from the definition of Licensed Technology, above.
