The Management's Discussion and Analysis portion of the third quarter 10-Q was posted on Friday 11/14/97 under YAHOO's quote area. Highlights are:

1)the Danish unit "continued to incur operating losses in the first none months of 1997 due primarily to the delayed market acceptance and deployment of a new generation of optical transmission equipment."

2)DSC expects that the Celcor "merger will be completed in the fourth quarter of 1997, at which time the results of the Company will be impacted by an after-tax charge of apporximately $135 million realted to in-process research and development."

3)"The Company is continuing to focus on controlling expenses, particularly international selling expenses and certain general and administrative costs."

4)"Capital expenditures for the full year 1997 should be in the range of $150 million to $160 million. Capital expenditures in 1998, which include construction of a new building for approximately $25 million on the Plano campus, are expected to be similar to that of 1997."

There was no mention of potential w/o's for Airspan (the last conference call indicated this possibility) or iMTN.

In any event, on a strong market day, DSC was up an anemic 1/4 to 23 1/4, on 3,562,000.
