As you know, Mr. Herbold joined MSFT exactly five years ago as an executive officer. Prior, he was an executive at Proctor & Gamble with 25 years of service. The following was part of his employment agreement, which surely helped convince him to leave P&G for MSFT in 1994 (back when Mr. Softee had "peaked" and the stock surely couldn't run any further). The following items are in addition to salary and can ne found in MSFT's proxy dated 11/11/98:

$250,000 immediate signing bonus (11/94)
Three additional $250,000 cash payments (11/95, 11/96 and 11/97)
1,300,000 shares MSFT stock (a new set of options were granted this year - 1999)
Lifetime health and disability coverage
$650,000 whole life insurance coverage
$1,350,000 term life coverage

Looking back, I doubt Mr. Herbold regrets the move.
