I understand what you are saying, I guess at first glance that does look sort of like a far fetched statement, but now for the rest of the story to fill in the gaps left by that statement.

The reason this Reg S came about was CVIA didnt have time to raise the funds any other way, (privately) so CVIA went ahead and issued the 50 million Reg S. Else risk loosing the merger.
During this time CVIA was still working on getting private investors togather to retire the debentures. ( Most Reg S have like a 41 to 47 day hold time and then they can be sold back into the float.)

I think by the time Mr Arnold was able to finally get the private investors togather, it was to late to stop the Reg S from entering the float, so they bought it back off the open market. The Shares are now back in friendly hands, for the most part. Since the Reg S hit the float the volume turned 161 million shares, for the month of March........ now we are back to 3 to 6 million volume days.
