Victory Nickel to list on TSX on Feb. 6

An application has been granted for the original listing in the mining category of 186,125,032 common shares of the company, of which 153,964,996 Victory Nickel common shares are issued and outstanding, and 32,160,036 Victory Nickel common shares are reserved for issuance. These shares will be listed and posted for trading at the open on Tuesday, Feb. 6, 2007.

Pursuant to a recently effected plan of arrangement involving the company and Nuinsco Resources Ltd. (TSX: NWI) among other things, Nuinsco common shareholders became entitled to receive, in exchange for each common share of Nuinsco outstanding prior to the arrangement, one new common share of Nuinsco and 0.75 of a Victory Nickel common share. See elsewhere in today's Toronto Stock Exchange bulletins regarding the change in Cusip number for the new Nuinsco common shares.

No fractional Victory Nickel common shares will be issued and the number of Victory Nickel common shares to which each shareholder is entitled will be rounded down to the next whole number and no payment will be made in respect of such a fractional share.

It is understood that letters of transmittal were mailed to Nuinsco shareholders on or about Jan. 4, 2007, requesting each such shareholder to return the certificate(s) representing their old Nuinsco common shares to Computershare Investor Services Inc. in Toronto in order to receive a certificate representing an equal number of new Nuinsco common shares, with the new Cusip number imprinted thereon, and a certificate representing the appropriate number of Victory Nickel common shares each such shareholder is entitled to receive.

The company is subject to the reporting requirements of Section 501 of the TSX company manual.

Incorporation: Victory Nickel Inc. and 2122721 Ontario Ltd. (Newco) were two new companies incorporated under the laws of Ontario on Dec. 20, 2006, in order to take part in the arrangement. On Feb. 1, 2007, being the effective date of the arrangement, Victory Nickel Inc. and Newco amalgamated to form Amalgamated Victory Nickel Inc. which has retained the name Victory Nickel Inc.

Fiscal year-end: Dec. 31

Nature of business: The company was formed pursuant to the arrangement on Feb. 1, 2007, to hold certain properties that have been spun out from Nuinsco. Three nickel properties, together with cash in the amount of $12-million, have been transferred from Nuinsco to the company pursuant to the arrangement. All of such properties are in the exploration/development stage.

Dividends: The company has not paid and does not intend to pay dividends in the foreseeable future.
